By applying to, joining, or participating in the Rankbreeze Affiliate Program ("Program"), you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Program Terms of Service ("Agreement"). This Agreement is entered into between you and Rankbreeze, operated by KPI Boost Technologies Ltd. ("Company," "we," "us," or "our"). If you do not agree to all of the terms herein, do not apply to or participate in the Program.
Rankbreeze's general Terms and Conditions, available at Rankbreeze.com/terms, apply to your use of the Rankbreeze platform and are not superseded by this Agreement. Where any matter is not addressed in this Agreement, Rankbreeze's general Terms and Conditions shall apply. In the event of a conflict between the two, this Agreement shall govern with respect to affiliate-specific matters.
The Program is administered through a third-party affiliate platform ("Affiliate Platform"). By participating, you agree to comply with that platform's terms of service in addition to this Agreement. Rankbreeze is not liable for any tracking failures, payment delays, data issues, or other errors arising from the Affiliate Platform.
Rankbreeze reserves the right to modify these terms at any time. Continued participation in the Program after notice of changes constitutes your acceptance of the revised terms.
To be eligible for the Rankbreeze Affiliate Program, you must:
Rankbreeze reserves the right to approve or reject any affiliate application at its sole discretion, without obligation to provide a reason for rejection.
Approved Affiliates earn a percentage-based commission on the subscription fees paid by referred customers ("Referred Customers") for eligible Rankbreeze subscription products (as designated by Rankbreeze from time to time), for as long as those customers remain active, paying subscribers. The commission percentage will be communicated to you upon approval and may be updated at any time at Rankbreeze's sole discretion. Continued participation in the Program following any rate change constitutes acceptance of the new rate.
Commissions are payable only on eligible Rankbreeze subscription products. Non-subscription services, one-time purchases, setup fees, add-ons, or any other revenue not explicitly designated as eligible by Rankbreeze are expressly excluded from commission calculations. Rankbreeze reserves the right to add or remove products from the eligible list at any time with reasonable notice.
A sale qualifies for commission when:
Commissions are approved sixty (60) days after the referred customer's initial subscription payment. This window allows Rankbreeze to account for refunds, chargebacks, and cancellations before commissions are finalized. Commissions will not be paid out until this approval window has passed.
If a referred customer receives a refund after a commission has already been paid to you, that commission will be deducted from your next scheduled payout. If there is no upcoming payout within 30 days of the refund, you are liable to repay the commission to Rankbreeze immediately. Failure to repay a commission paid in error entitles Rankbreeze to terminate this Agreement and pursue recovery of the outstanding amount.
Commissions are subject to adjustment or reversal in the event of chargebacks, fraud, or violations of this Agreement. Rankbreeze reserves the right to withhold commissions pending investigation of suspicious activity.
Rankbreeze aims to process commission payments on a monthly basis. Rankbreeze does not guarantee payment on any specific date. Delays may occur due to processing times, public holidays, third-party platform schedules, or other factors outside Rankbreeze's control. Rankbreeze reserves the right to adjust the payment schedule.
A minimum balance must be accrued before a payment is issued. If your balance does not meet the threshold in a given month, it will roll over to the next month until the threshold is reached. The current minimum threshold is communicated to affiliates separately and may be updated with reasonable notice.
Rankbreeze reserves the right to terminate this Agreement and remove any affiliate account that has been inactive for six (6) consecutive months. An account is considered inactive if the affiliate dashboard has not been logged into and/or no transactions have been posted during that period. If your account is terminated for inactivity and your accumulated balance is equal to or less than the minimum payout threshold, that balance will be forfeited. Rankbreeze will make reasonable efforts to notify you before terminating an inactive account.
Where you refer a customer who is an existing or prior Rankbreeze customer, the payout of commission will be subject to manual review and approval by Rankbreeze in its sole discretion. Rankbreeze reserves the right to decline commission on such referrals.
Payment details — including available payment methods and any associated requirements — are communicated to affiliates separately and may be updated from time to time. You are responsible for ensuring your payment information is accurate and up to date. Rankbreeze is not responsible for misdirected payments due to incorrect information provided by the Affiliate.
You are solely responsible for determining and fulfilling any tax obligations arising from commissions earned through the Program. Rankbreeze bears no responsibility for any tax liabilities incurred by you.

The following promotional methods are strictly prohibited and may result in immediate termination and forfeiture of unpaid commissions:
You must clearly and conspicuously disclose your affiliate relationship with Rankbreeze in all promotional content, in compliance with all applicable laws, regulations, and platform rules in your jurisdiction. Disclosures must be easy for your audience to notice and understand
You are solely responsible for the development, operation, and maintenance of your website or promotional platform, and for all content and materials that appear on it. This includes:
Rankbreeze grants you a limited, non-exclusive, non-transferable, revocable license to use approved Rankbreeze logos, banners, and marketing materials solely for the purpose of promoting the Program in accordance with this Agreement. You may not:
All intellectual property rights in Rankbreeze's brand, products, and marketing materials remain the exclusive property of Rankbreeze.
Any non-public information shared with you in connection with the Program, including commission rates, promotional strategies, customer data, and business information, is confidential. You agree not to disclose or use such information for any purpose other than participation in the Program.
You may terminate your participation in the Program at any time by providing written notice to Rankbreeze. Earned commissions that have met the payment threshold will be paid at the next scheduled payment date, provided no violations of this Agreement have occurred
Rankbreeze may suspend or terminate your participation in the Program, with or without cause and with or without notice, including but not limited to the following circumstances:
Upon termination, your affiliate links will be deactivated, and you will no longer earn commissions. Commissions on active subscriptions referred prior to termination will be paid through the final month of termination, unless termination was due to fraud or a material breach of this Agreement, in which case Rankbreeze reserves the right to forfeit all unpaid commissions.
Rankbreeze actively monitors affiliate activity to detect and prevent fraud. Suspicious activity includes, but is not limited to:
Rankbreeze reserves the right to withhold, reverse, or forfeit commissions associated with fraudulent or suspicious activity, and to pursue legal remedies where appropriate.
You represent and warrant that:
THE Rankbreeze AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Rankbreeze DOES NOT GUARANTEE ANY SPECIFIC LEVEL OF COMMISSIONS OR EARNINGS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Rankbreeze SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, EVEN IF Rankbreeze HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, Rankbreeze'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU BY Rankbreeze IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree that you will not make any false, misleading, or disparaging statements — whether written or oral, public or private — about Rankbreeze, its products, services, officers, directors, employees, or agents. This includes statements made on social media, review platforms, forums, or any other public channel. Rankbreeze reserves the right to terminate this Agreement and withhold any unpaid commissions in the event of a breach of this clause.
Rankbreeze or its designees reserve the right to review and audit affiliate activity, traffic sources, and promotional methods at any time to verify compliance with this Agreement. If an audit reveals that commissions were generated through misrepresentation, fraud, or violation of this Agreement, Rankbreeze may recover any amounts overpaid, withhold future commissions, and terminate this Agreement. If an overpayment of 3% or more is attributable to affiliate misrepresentation, the Affiliate must reimburse Rankbreeze for reasonable costs associated with the audit. These remedies are in addition to any other remedies available at law or in equity.
You agree to indemnify, defend, and hold harmless Rankbreeze and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program; (b) your violation of this Agreement; (c) your promotional activities; or (d) your breach of any applicable law or third-party rights.
This Agreement is governed by and construed in accordance with the laws of England, consistent with Rankbreeze's Terms and Conditions. Any dispute arising out of or in connection with this Agreement shall first be referred to senior management of both parties for good-faith resolution within 10 business days. If unresolved, disputes shall be finally settled by arbitration under the rules of the London Court of International Arbitration, with proceedings conducted in English in London
Rankbreeze shall not be liable for any delay or failure to perform its obligations under this Agreement resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, government action, fire, flood, strikes, third-party platform outages, or changes to Airbnb's platform, policies, or algorithm that affect the value or operation of Rankbreeze's products.
Customers referred through the Program remain Rankbreeze customers. Rankbreeze retains full control over all pricing, product availability, policies, and customer service for referred customers. Rankbreeze may change its prices, packages, and operating procedures at any time without notice to you, and such changes will not affect your entitlement to commissions on active subscriptions except where a product is discontinued or removed from the eligible products list.
This Agreement is an electronic contract. By completing the affiliate application process or by clicking to accept these terms, you indicate your acceptance of this Agreement and create a legally binding electronic signature. You confirm that you have read, understood, and agreed to all terms and conditions contained herein.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT Rankbreeze MAY AT ANY TIME SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE IN THIS AGREEMENT, OR OPERATE WEBSITES OR SERVICES THAT ARE SIMILAR TO OR COMPETE WITH YOUR OWN. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
This Agreement, together with Rankbreeze's Terms and Conditions at Rankbreeze.com/terms, constitutes the entire agreement between you and Rankbreeze with respect to the Program and supersedes all prior agreements, representations, and understandings.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Rankbreeze's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.
You may not assign your rights or obligations under this Agreement without the prior written consent of Rankbreeze. Rankbreeze may assign this Agreement freely.
You are an independent contractor and not an employee, partner, agent, or joint venturer of Rankbreeze. You have no authority to make or accept any offers or representations on Rankbreeze's behalf, and you will not make any statement that reasonably contradicts this relationship.
